Terms of Service

By accessing and using HealthSpace Finder ("the Platform"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms of Service, you may not access or use our services.

These terms apply to all visitors, users, healthcare providers, property owners, and others who access or use the service. You represent that you are at least 18 years of age and have the legal capacity to enter into this agreement.

HealthSpace Finder is a digital marketplace that connects healthcare providers with property owners for medical office spaces and healthcare facilities. Our platform provides:

• Search and discovery tools for medical office spaces
• Property listing and management services
• Communication tools between parties
• Verification and compliance checking services
• Educational resources and support

We serve as a platform facilitator and do not directly provide medical services or property management.

To access certain features of the Platform, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your password and identification
• Promptly update your account information when it changes
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

Healthcare providers must provide valid medical license information. Property owners must provide proof of property ownership or authorization to list properties.

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Violate any applicable federal, state, local, or international law or regulation
• Impersonate any person or entity or misrepresent your affiliation
• Upload, post, or transmit any content that is unlawful, harmful, or inappropriate
• Interfere with or disrupt the integrity or performance of the Platform
• Attempt to gain unauthorized access to the Platform or related systems
• Use the Platform for any fraudulent or commercial solicitation purposes
• Collect or harvest personal information about other users without consent
• Post false, misleading, or deceptive content about properties or services

Healthcare-specific restrictions: • Do not share patient information or violate HIPAA regulations • Do not make medical claims about properties without proper certification • Do not misrepresent medical credentials or licensing status

Property Owners agree that: • All listing information must be accurate and current • Properties must comply with applicable healthcare facility regulations • You have the legal right to rent or lease the listed property • You will promptly update listings when information changes • You will respond to legitimate inquiries in a timely manner

Healthcare Providers agree that: • Profile information and credentials must be accurate and current • You will use the Platform in good faith to find suitable medical spaces • You will comply with all applicable healthcare regulations and licensing requirements

We reserve the right to remove, modify, or reject any content that violates these terms or our community standards.

Basic browsing and searching is free for healthcare providers. Property owners may list basic properties for free, with premium features available through paid plans.

For paid services: • Fees are charged in advance and are non-refundable unless otherwise specified • All prices are in US dollars and exclude applicable taxes • We may change our pricing with 30 days notice to existing users • Subscription services automatically renew unless cancelled

We use third-party payment processors and do not store payment information on our servers.

Your privacy is important to us. Our collection, use, and sharing of your information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Key privacy commitments: • We implement HIPAA-compliant security measures for healthcare data • We do not sell personal information to third parties • We use encryption and secure protocols for data transmission • You can request access to or deletion of your personal data

By using the Platform, you consent to the collection and use of information as detailed in our Privacy Policy.

This Platform is designed to support healthcare industry compliance requirements:

HIPAA Compliance: • All communications through the Platform use encrypted channels • We provide HIPAA-compliant messaging and data storage • Users are responsible for their own HIPAA compliance obligations

Healthcare Regulations: • Property listings must comply with applicable healthcare facility regulations • Healthcare providers must maintain valid licenses and certifications • All parties must comply with state and federal healthcare laws

We provide tools and resources to support compliance but each user is responsible for ensuring their own regulatory compliance.

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee: • The accuracy, completeness, or usefulness of any information on the Platform • That the service will meet your specific requirements • That the service will be uninterrupted, timely, secure, or error-free • The results obtained from using the service

We are not responsible for: • The conduct of users or the accuracy of user-generated content • Disputes between healthcare providers and property owners • Compliance with local regulations or licensing requirements • The suitability of any property for specific medical uses

You agree to indemnify, defend, and hold harmless HealthSpace Finder, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including attorney's fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any third party right, including privacy, publicity, or intellectual property rights
• Any dispute between you and other users
• Your property listings or profile information
• Any negligent or wrongful conduct by you

This indemnification obligation will survive termination of your account or these Terms.

We may terminate or suspend your account and bar access to the Platform immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever including:

• Breach of these Terms
• Fraudulent, abusive, or illegal activity
• Violation of healthcare regulations or professional standards
• Extended periods of inactivity
• Technical or security reasons

Upon termination: • Your right to use the Platform will cease immediately • We may delete your account and all related data • All provisions that by their nature should survive termination shall survive • You remain liable for any outstanding fees or obligations

You may terminate your account at any time by contacting us.

These Terms shall be interpreted and governed by the laws of the State of Massachusetts, without regard to its conflict of law provisions.

Dispute Resolution Process: 1. Direct Communication: First, attempt to resolve disputes directly with the other party 2. Platform Mediation: Contact our support team for assistance in resolving disputes 3. Binding Arbitration: Unresolved disputes will be settled by binding arbitration

You agree that: • Any legal action must be filed within one year after the claim arose • Disputes will be resolved on an individual basis (no class actions) • Arbitration will be conducted under the rules of the American Arbitration Association • The arbitration will take place in Boston, Massachusetts

Exceptions to arbitration include actions to protect intellectual property rights and small claims court actions.

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will:

• Provide at least 30 days notice prior to new terms taking effect
• Notify users via email and platform notification
• Post the updated Terms on our website with the effective date

Changes may include: • Updates to comply with new laws or regulations • Modifications to reflect new features or services • Clarifications based on user feedback • Enhanced security or privacy protections

Your continued use of the Platform after the effective date of any changes constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Platform.
